1. About These Terms
These Terms & Conditions govern your use of holfeld.com and any services, events, programs, or online communities offered by Holfeld LLC that expressly reference these Terms.
"The Holfeld Company LLC", “Holfeld LLC,” “we,” “us,” and “our” refer to the company operating this website. “You” and “your” refer to the person using our website or participating in our offerings.
Please read these Terms before using our services. Where we ask you to accept these Terms during registration, checkout, or another transaction, your acceptance forms an agreement with us. If you do not agree, do not use the applicable service.
2. Services and Separate Agreements
We may provide technology and AI consulting, educational content, professional introductions, events, and community programs.
The scope, pricing, deliverables, and timing of paid services will be described in the applicable proposal, registration page, order, or written agreement. A signed consulting agreement or statement of work controls over these Terms if there is a conflict concerning that engagement. Specific event or purchase terms disclosed before payment control for that transaction.
Information on this website is not a binding offer or a guarantee that a particular service will be available.
3. Eligibility and Accurate Information
You must be at least 18 years old to purchase services or register for our programs unless we expressly permit participation with a parent or legal guardian’s consent. Events may have additional age requirements. Alcohol-related activities are restricted to individuals aged 21 or older with valid identification.
You agree to provide accurate information and to protect any account credentials. You may not impersonate another person or misrepresent your identity, qualifications, or affiliations.
4. Acceptable Use and Community Conduct
You agree to use our website and services lawfully and respectfully.
You may not engage in harassment, discrimination, threats, fraud, unwanted solicitation, spam, or conduct that disrupts an event or community. You may not attempt unauthorized access, introduce malicious software, scrape private member information, or collect or distribute other participants’ personal information without permission.
We may restrict access, suspend participation, or remove individuals who violate these Terms, applicable laws, venue rules, or reasonable safety instructions. We will exercise these rights consistently with applicable law. Any refund will be determined under the disclosed purchase terms and applicable law.
5. Consulting, Educational Content, and AI Tools
General website content, presentations, demonstrations, and community discussions are provided for informational purposes. They do not constitute legal, tax, investment, medical, or other regulated professional advice.
AI-generated outputs may contain errors, omissions, or inaccurate information. You are responsible for reviewing outputs and obtaining appropriate human review before relying on them, particularly for consequential decisions.
Do not submit confidential information, personal data, credentials, or materials you are not authorized to share through public forms or demonstrations. Any use of client information in a consulting engagement will be governed by the applicable written agreement and privacy obligations.
We do not guarantee particular technical, financial, business, fundraising, employment, or networking outcomes.
6. Payments and Refunds
Prices, payment schedules, applicable taxes, and refund conditions will be disclosed before purchase or in a separate written agreement.
Unless otherwise stated before purchase, event tickets are nonrefundable if you cancel or do not attend, except where required by law. Consulting cancellation and refund terms will be set out in the applicable engagement agreement.
If we offer a recurring subscription, its price, billing frequency, renewal terms, and cancellation method will be disclosed before enrollment. Recurring charges require your express consent. You may cancel future renewals using the method provided at signup or by contacting us.
Nothing in these Terms limits mandatory refund, cancellation, or consumer protection rights.
7. Events and Admission
Event admission may depend on registration approval, capacity, identity verification, age restrictions, and compliance with the event’s published requirements. An RSVP or invitation does not guarantee admission unless expressly stated.
We may make reasonable changes to speakers, schedules, programming, or venues. If we cancel a paid event without providing a replacement you accept, we will refund the ticket price and fees collected by us. If we materially reschedule or relocate an event and you cannot attend, you may request a refund within the period stated in our notice, which will be at least 14 days after that notice.
Unless required by law or expressly agreed in writing, we do not reimburse travel, accommodation, or other expenses incurred in connection with an event.
8. Event Safety and Personal Responsibility
You agree to follow venue rules and reasonable instructions from organizers and staff. You are responsible for your conduct, belongings, transportation, and decisions about participating in activities or consuming alcohol.
Events may involve ordinary risks associated with crowds, movement, food, demonstrations, and interactions with other attendees. Please exercise reasonable care, disclose relevant accommodation needs in advance, and promptly report safety concerns.
This section is not a release of claims for personal injury and does not waive rights that cannot lawfully be waived. Activities requiring a specific safety acknowledgment or release may be subject to a separate agreement.
9. Photography and Recording
Some events may be photographed, filmed, or livestreamed. Where recording is planned, we will provide notice through the registration page, event communications, or venue signage.
Please contact us before the event if you have concerns about appearing in event coverage. We will consider reasonable requests, although we cannot guarantee exclusion from incidental crowd footage or recordings made by other attendees.
Where legally required, we will obtain separate consent before using an identifiable person’s name, image, voice, or likeness for advertising or endorsements. These Terms alone do not authorize us to imply your endorsement.
10. Intellectual Property
Unless otherwise identified, website content, branding, graphics, presentations, and materials we create are owned by Holfeld LLC or used with permission.
You may view and use publicly available materials for personal, noncommercial purposes. You may not reproduce, sell, redistribute, or commercially exploit them without permission, except as permitted by law.
Ownership and licensing of consulting deliverables are governed by the applicable written agreement. Third-party names and trademarks remain the property of their respective owners.
11. Materials You Submit
You retain ownership of materials you submit. You confirm that you have the rights and permissions necessary to share them.
You grant us a nonexclusive license to use those materials only as reasonably necessary to provide the service or carry out the purpose for which you submitted them. If you submit content specifically for public display, this includes permission to display it in that context.
This provision does not authorize unrelated advertising use or override a confidentiality agreement.
12. Third Parties and Introductions
Our website and programs may include third-party links, payment platforms, venues, speakers, sponsors, vendors, or professional introductions.
Third parties operate under their own terms and privacy practices. A link, introduction, appearance, or sponsorship does not guarantee the quality, suitability, or performance of a third party.
You are responsible for evaluating opportunities and conducting appropriate due diligence before entering into transactions or sharing sensitive information.
13. Privacy and Communications
Our collection and use of personal information are described in our separate Privacy Policy.
We may send administrative communications relating to registrations, purchases, or services you request. Marketing emails include an unsubscribe option. Unsubscribing from marketing does not prevent necessary transactional communications.
14. Disclaimers
To the fullest extent permitted by law, our website and general informational materials are provided “as is” and “as available.” We do not guarantee uninterrupted access, error-free content, or that the website will meet every user’s needs.
Express commitments in a signed service agreement remain in effect. Nothing in these Terms excludes warranties or protections that cannot lawfully be excluded.
15. Limitation of Liability
To the fullest extent permitted by law, Holfeld LLC will not be liable for indirect, incidental, special, or consequential damages arising from use of this website or services governed by these Terms.
Subject to the exceptions below, our total liability for a claim relating to this website or a service governed by these Terms will not exceed the greater of $100 or the amount you paid us for the specific service giving rise to the claim during the preceding 12 months.
These limitations do not apply to fraud, willful misconduct, gross negligence, liability for death or personal injury caused by our negligence, or any other liability that cannot lawfully be excluded or limited. They do not reduce an express refund obligation under these Terms.
A separate signed agreement may establish different liability terms for a consulting engagement.
16. Governing Law and Disputes
These Terms are governed by California law, without regard to conflict-of-law principles, except where mandatory laws provide otherwise.
Please contact us first so we can attempt to resolve a concern informally. Doing so is not a condition of exercising your legal rights and does not extend any filing deadline.
Unless applicable law requires otherwise, disputes relating to these Terms will be brought in the appropriate state or federal courts located in San Francisco, California. This does not prevent an eligible claim from being brought in a small claims court with jurisdiction or restrict mandatory consumer rights.
17. Changes to These Terms
We may update these Terms from time to time and will revise the date above. Material changes will be communicated where required by law, and we will obtain renewed agreement where required.
Changes apply prospectively and do not retroactively alter an existing purchase or signed agreement without your consent.
18. General Provisions
If a provision is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law. A failure to enforce a provision does not waive our right to enforce it later.
These Terms, together with applicable purchase terms and written agreements, govern the offerings they cover.
